OpGen Announces Special Meeting of Stockholders to Vote on Proposed Increase to Number of Authorized Shares of Common Stock


ROCKVILLE, Md., Nov. 04, 2021 (GLOBE NEWSWIRE) -- OpGen, Inc. (Nasdaq: OPGN, “OpGen” or the “Company”), a precision medicine company harnessing the power of molecular diagnostics and informatics to help combat infectious disease, announced it has scheduled a Special Meeting of stockholders for December 8, 2021 at 10:00 a.m., Eastern time, to approve its proposed increase of the number of authorized shares of common stock from 50 million to 100 million and to reduce the stockholder approval requirement for changes to the Company’s Amended and Restated Certificate of Incorporation, as amended, to a majority of the outstanding shares entitled to vote. The proposal to increase the Company’s authorized shares of common stock and reduce the stockholder approval requirement is set forth in the Company’s Definitive Proxy Statement filed with the Securities and Exchange Commission on October 29, 2021.
